Terms of Service

Agreement to Terms​

By accessing or using Torvus Security ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Note: These are standard terms of service. For actual legal implementation, please consult with legal counsel to ensure compliance with applicable laws and regulations.

1. Definitions​

  • "Account": Your registered user account on the Platform
  • "Content": Documents, files, data, and information you upload to vaults
  • "Service": The Torvus Security platform and all associated services
  • "User", "You": The individual or entity using the Service
  • "Vault": A secure container for storing and managing Content
  • "Recipient": A person designated to receive access to a vault upon release

2. Eligibility​

Age Requirement​

You must be at least 18 years old to use the Service. By using the Service, you represent that you meet this age requirement.

You must have the legal capacity to enter into binding contracts. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Prohibited Jurisdictions​

The Service is not available in jurisdictions where it would be illegal to offer such services. You are responsible for compliance with local laws.

3. Account Registration​

Account Creation​

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Be responsible for all activities under your account

Account Security​

You agree to:

  • Use a strong, unique password
  • Enable two-factor authentication (required)
  • Not share your account credentials with others
  • Log out from shared or public computers

Account Termination​

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

4. Service Description​

Platform Features​

Torvus Security provides:

  • Secure document storage and encryption
  • Vault management and access control
  • Release policy configuration (inactivity, date-based, manual, death certificate)
  • Recipient management and notification
  • Check-in systems for inactivity policies
  • API access for automation (paid plans)

Service Modifications​

We reserve the right to:

  • Modify, suspend, or discontinue features at any time
  • Change pricing with 30 days' notice for existing customers
  • Update the Platform to improve security and functionality

No Warranty on Availability​

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance.

5. Acceptable Use​

Permitted Uses​

You may use the Service to:

  • Store personal or business documents securely
  • Configure release policies for emergency or estate planning
  • Manage digital legacy and asset distribution
  • Automate document management via API

Prohibited Uses​

You may not use the Service to:

  • Store illegal, harmful, or infringing content
  • Violate any laws or regulations
  • Distribute malware, viruses, or malicious code
  • Harass, threaten, or harm others
  • Impersonate any person or entity
  • Attempt to gain unauthorized access to systems
  • Scrape, data mine, or reverse engineer the Service
  • Resell or redistribute the Service without authorization

6. Content Ownership and License​

Your Content​

You retain all ownership rights to Content you upload to the Service. We do not claim ownership of your Content.

License to Torvus​

By uploading Content, you grant us a limited license to:

  • Store and encrypt your Content
  • Process Content as necessary to provide the Service
  • Deliver Content to designated recipients upon vault release
  • Back up Content for disaster recovery

This license terminates when you delete your Content or close your account (subject to retention periods).

Prohibited Content​

You may not upload Content that:

  • Violates intellectual property rights
  • Contains personal information of others without consent
  • Is illegal, obscene, or defamatory
  • Contains malware or harmful code

We reserve the right to remove Content that violates these Terms.

7. Privacy and Data Protection​

Privacy Policy​

Our Privacy Policy explains how we collect, use, and protect your data.

Data Security​

We employ industry-standard security measures:

  • AES-256 encryption at rest
  • TLS 1.3 encryption in transit
  • Multi-factor authentication
  • Regular security audits

Data Processing​

We process your data in accordance with:

  • GDPR (for EU users)
  • CCPA (for California residents)
  • Applicable data protection laws

Data Retention​

We retain your data:

  • Active vaults: Indefinitely (until you delete)
  • Deleted vaults: 30 days (recovery period)
  • Audit logs: 7 years (compliance requirement)
  • Backups: 30 days

8. Payment and Subscriptions​

Subscription Plans​

We offer:

  • Free Plan: Limited features (3 vaults, 3 recipients per vault)
  • Pro Plan: Enhanced features ($9.99/month)
  • Business Plan: Team features ($29.99/month per user)
  • Enterprise Plan: Custom pricing

Billing​

  • Subscriptions are billed monthly or annually (based on your selection)
  • Payment is due at the start of each billing period
  • Accepted payment methods: Credit card, PayPal
  • All fees are in USD unless otherwise stated

Auto-Renewal​

Subscriptions automatically renew unless canceled at least 24 hours before renewal date. You can cancel anytime from your account settings.

Refunds​

  • Free trials: No refund needed (no charge)
  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rated refund available within 30 days
  • Downgrades: Take effect at next billing cycle

Price Changes​

We may change pricing with 30 days' notice. Existing customers keep current pricing for remainder of current billing period.

Taxes​

Prices exclude applicable taxes. You are responsible for all taxes associated with your purchase.

9. Intellectual Property​

Torvus IP​

The Service, including all software, designs, trademarks, and logos, is owned by Torvus Security and protected by copyright and trademark laws.

License to Use​

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal or business purposes in accordance with these Terms.

Restrictions​

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove or alter copyright notices
  • Use our trademarks without permission

Third-Party Services​

The Service may integrate with third-party services (e.g., AWS, Stripe). Your use of such services is subject to their terms.

10. Vault Release Policies​

Release Mechanisms​

Vaults can be released via:

  • Manual release: You trigger release manually
  • Inactivity policy: Automatic release after missed check-ins
  • Date-based release: Automatic release on specified date
  • Death certificate verification: Release upon verified death certificate

Check-in Requirements​

For inactivity policies:

  • You must check in at specified intervals (daily, weekly, monthly, quarterly)
  • Grace periods apply after missed check-ins (configurable)
  • Reminders sent before check-in due dates
  • Failure to check in triggers vault release

Release Notifications​

Upon vault release:

  • All designated recipients receive email notification
  • Recipients gain immediate access to vault contents
  • Release is logged in audit trail
  • You (vault owner) are notified if possible

Irreversibility​

Vault releases are irreversible. Once Content is released to recipients, it cannot be recalled. Configure policies carefully.

11. Disclaimer of Warranties​

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including:

  • Merchantability: No guarantee the Service meets your needs
  • Fitness for a particular purpose: No guarantee for specific use cases
  • Non-infringement: No guarantee of freedom from third-party claims
  • Accuracy: No guarantee Content will be accurately stored or delivered
  • Availability: No guarantee of uninterrupted service

Use at your own risk. We recommend maintaining backup copies of important Content.

12. Limitation of Liability​

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORVUS SECURITY SHALL NOT BE LIABLE FOR:

Direct Damages​

We are not liable for:

  • Loss of data or Content
  • Service interruptions or downtime
  • Unauthorized access to your account
  • Errors or bugs in the Service

Indirect Damages​

We are not liable for:

  • Lost profits or revenue
  • Loss of business opportunities
  • Reputational harm
  • Consequential or incidental damages

Liability Cap​

Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Exceptions​

Some jurisdictions do not allow limitation of liability for personal injury or certain damages. These limitations may not apply to you.

13. Indemnification​

You agree to indemnify and hold harmless Torvus Security, its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you upload to the Service
  • Your negligence or misconduct

We reserve the right to assume exclusive defense of any claim, and you will cooperate with our defense.

14. Dispute Resolution​

Governing Law​

These Terms are governed by the laws of [State/Country], without regard to conflict of law principles.

Arbitration Agreement​

Any disputes arising from these Terms shall be resolved through binding arbitration, not court litigation.

Arbitration Rules​

  • Arbitration conducted under rules of the American Arbitration Association (AAA)
  • One arbitrator selected mutually or appointed by AAA
  • Arbitration location: [City, State]
  • Each party bears own attorney's fees unless arbitrator decides otherwise

Exceptions to Arbitration​

The following may be brought in court:

  • Small claims court actions (under $10,000)
  • Injunctive relief for IP infringement
  • Emergency equitable relief

Class Action Waiver​

You agree to arbitrate disputes individually, not as part of a class action. You waive the right to participate in class actions or class arbitrations.

15. Termination​

Termination by You​

You may terminate your account at any time by:

Upon termination:

  • Active subscriptions are canceled (no refund for partial periods)
  • Your vaults and Content are deleted after 30-day retention period
  • Recipients lose access to released vaults

Termination by Us​

We may suspend or terminate your account if you:

  • Violate these Terms or our policies
  • Engage in fraudulent activity
  • Fail to pay subscription fees
  • Pose a security risk

We will provide notice when possible, except for immediate threats.

Effect of Termination​

Upon termination:

  • Your license to use the Service ends
  • You must cease all use of the Service
  • Sections 6 (Content License), 11-14, and 16-17 survive termination

16. Changes to Terms​

We may update these Terms from time to time. Changes will be effective:

  • Material changes: 30 days after notice
  • Non-material changes: Immediately upon posting

We will notify you of material changes via:

  • Email to your registered address
  • In-app notification
  • Notice on our website

Continued use of the Service after changes constitutes acceptance.

If you do not agree to updated Terms, you must stop using the Service.

17. General Provisions​

Entire Agreement​

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Torvus Security.

Severability​

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Waiver​

Our failure to enforce any right does not waive that right.

Assignment​

You may not assign these Terms without our consent. We may assign these Terms without notice (e.g., in a merger or acquisition).

Force Majeure​

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, pandemics, etc.).

Export Compliance​

You agree to comply with all export and import laws. You represent that you are not located in an embargoed country or on a restricted party list.

No Third-Party Beneficiaries​

These Terms do not create rights for third parties.

19. Acknowledgment​

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
